The client is responsible for providing accurate and complete information, requirements, content, materials, credentials, access, and feedback reasonably required for the project.
Delays caused by missing information, delayed approvals, unavailable resources, or changes requested by the client may affect the project timeline and delivery schedule.
Development work will be performed according to the agreed project scope.
Requests for additional features, functionality, integrations, design changes, or other work outside the agreed scope may require additional fees and may affect the project timeline.
Any significant change to the project scope may be documented and approved before the additional work begins.
Project pricing is determined based on the scope, complexity, features, integrations, technology requirements, and other factors associated with the project.
Any pricing displayed on our website, including starting prices, is for general informational purposes and does not constitute a binding offer or fixed quotation unless expressly stated otherwise.
Payment schedules, deposits, milestones, final payments, and other payment requirements will be communicated in the applicable project proposal or agreement.
Unless otherwise agreed in writing, AlphaEager LLC may pause development or related services if required payments are overdue.
Any quotation or estimate provided by AlphaEager LLC is based on the information and requirements available at the time of preparation.
A quote may need to be revised if project requirements change, additional functionality is requested, or new technical requirements are discovered during development.
The client agrees to:
Ownership of software, source code, designs, documentation, content, and other project deliverables will be determined by the applicable project agreement.
Unless otherwise agreed in writing, AlphaEager LLC retains ownership of its pre-existing tools, frameworks, libraries, reusable components, development methods, processes, know-how, and other materials that were not created specifically for the client.
Third-party software, libraries, frameworks, APIs, fonts, images, and other materials remain subject to their respective licenses and terms.
The client retains responsibility for the materials, content, trademarks, logos, data, images, documents, and other intellectual property supplied to AlphaEager LLC.
The client represents that it has the necessary rights and permissions to provide and use such materials for the intended project.
Projects may depend on third-party services, APIs, hosting providers, payment gateways, app stores, software platforms, or other external services.
AlphaEager LLC is not responsible for changes, outages, restrictions, pricing changes, security incidents, service interruptions, or policy changes caused by third-party providers.
Additional development work required because of changes to third-party services may be treated as additional project work.
AlphaEager LLC will make reasonable efforts to test project deliverables before launch.
The client is responsible for reviewing deliverables and providing reasonable feedback regarding issues or requirements that do not conform to the agreed project scope.
Testing and acceptance procedures may be further defined in the applicable project agreement.
Estimated project timelines are based on the agreed scope and the timely availability of required information, approvals, content, access, and payments.
AlphaEager LLC will make reasonable efforts to meet agreed timelines but does not guarantee completion dates where delays result from circumstances outside our reasonable control or from client-side delays.
Unless specifically included in a project agreement, ongoing maintenance, technical support, hosting, monitoring, updates, feature development, and third-party service management are not automatically included after project completion.
Additional support or maintenance services may be provided under a separate agreement or service arrangement.
AlphaEager LLC understands that clients may provide confidential business and project information during the development process.
We will take reasonable measures to protect confidential information and will not knowingly disclose it to unauthorized parties except where disclosure is required by law, necessary to provide the agreed services, or authorized by the client.
We take reasonable technical and organizational measures to protect systems and project information under our control.
However, no software, network, hosting environment, or internet transmission can be guaranteed to be completely secure. Clients are responsible for maintaining appropriate access controls and protecting their own credentials and systems.
Our website and its content are provided for general informational purposes. While we make reasonable efforts to keep information accurate and up to date, we do not guarantee that all website content will always be complete, accurate, current, or free from errors.
We do not guarantee that our website will always be available, uninterrupted, or completely free from technical issues.
To the maximum extent permitted by applicable law, AlphaEager LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of our website or services.
Our liability in connection with a specific project will be subject to the terms and limitations contained in the applicable project agreement, to the extent permitted by law.

Any disputes relating to these Terms and Conditions or our services shall be handled in accordance with applicable law and any dispute-resolution provisions contained in the applicable project agreement.
AlphaEager LLC may update these Terms and Conditions from time to time to reflect changes to our services, business practices, legal requirements, or website functionality.
When changes are made, we will update the Last Updated date at the top of this page. Your continued use of our website after updated terms are posted constitutes acceptance of the revised Terms and Conditions, to the extent permitted by law.
